Membership Terms, Club Rules & Risk Disclosure

Version v1.0 · last updated 27 August 2026. These terms set out what JR Collective is — a private information and discussion community — and, just as importantly, what it is not. They are a plain-language framework for a members' club and are not a substitute for legal advice on your own circumstances.

In one paragraph

Members share what they are doing with their own money. Other members read it, form their own view, and if they want in they invest directly and independently, in their own name. JR Collective gives no advice, makes no recommendation, receives no member money and pools nothing. Every decision and every risk belongs to the member who takes it.

1. Who we are and what this document is

TBC (Company File No. TBC, registered office TBC), trading as JR Collective ("JR Collective", "the Club", "we"), operates a private members' community and members' portal.

These Membership Terms form a binding agreement between JR Collective and each member. By requesting membership, accepting an invitation, signing in to the portal, reading member content or posting to the members' board, you accept these terms in full. If you do not accept them, you must not use the portal.

2. What the Club is

JR Collective is an information, education and discussion community for private investors. Nothing more.

  • Members share their own observations, research, experience and results with other members.
  • JR Collective publishes factual and historical information, third-party manager material and market data for members' interest.
  • Where a member chooses to invest, they do so directly, in their own name, with a provider or manager of their own choosing, under that provider's own terms.
  • JR Collective never receives, holds, pools, controls or manages member money or assets.

3. What the Club is not

JR Collective is not authorised or regulated by the Financial Conduct Authority or by any other financial services regulator, and it does not need to be, because it does not carry on regulated activity. Specifically, JR Collective does not and will not:

  • give investment advice, personal recommendations or any opinion on the merits or suitability of an investment for any member;
  • advise, arrange, deal, manage, safeguard or administer investments, or receive or transmit orders;
  • operate, promote or manage a collective investment scheme, fund, pooled vehicle or profit-sharing arrangement — member capital is never pooled and JR Collective never has day-to-day control over it;
  • solicit, receive or handle member funds, or act as a payment agent, custodian or nominee;
  • act as an introducer for commission from any provider, or as an appointed representative of any authorised firm;
  • guarantee, forecast or underwrite any return, capital protection or outcome.

4. Information only — no advice

All content on the portal, in member posts, in strategy pages, in performance tables, in events material and in any club communication is provided for information, education and discussion only. It is not investment advice, tax advice, legal advice or a personal recommendation, and it takes no account of any member's objectives, knowledge, financial situation, tax position or risk tolerance.

No adviser-client relationship, fiduciary relationship or duty of care in respect of investment decisions arises between JR Collective and any member, or between one member and another.

Members must form their own view and are strongly encouraged to take independent advice from an appropriately authorised professional in their own jurisdiction before committing capital.

5. Member-to-member sharing rules

The members' board exists so members can describe what they are doing themselves. It is not a tip service. Members agree to the following rules, and JR Collective may remove content or membership for breach:

  • Speak in the first person about your own holdings and experience — do not tell other members what they should do.
  • Do not use language of recommendation, urgency, guaranteed return, 'sure thing', or pressure of any kind.
  • Do not promote, market or solicit investment in anything you, your family, your employer or your business will be paid for, or in which you have an undisclosed interest. Disclose any interest openly.
  • Do not promote unregulated collective investment schemes, lending arrangements, deposit-taking or crypto offerings to other members.
  • Do not share confidential, inside or price-sensitive information, and do not act on it.
  • Do not collect, pool or hold money from other members, or offer to invest or manage it for them, under any circumstance.
  • Keep member content inside the Club — it is confidential to members and must not be reproduced or forwarded.

6. Membership, eligibility and admission

Membership is private, personal, non-transferable and by introduction only. JR Collective may refuse, suspend or terminate membership at its absolute discretion and without giving reasons.

The portal and its content are directed only at persons admitted to the Club. Members confirm they are of legal age, are investing for their own account, are experienced enough to evaluate the information they receive, and are not accessing the portal from a jurisdiction where doing so would be unlawful.

Members must keep their credentials confidential and are responsible for all activity under their sign-in.

7. Third-party managers and providers

Strategy information shown in the portal may relate to programmes operated by independent third-party managers, including Pioneer Asset Management AG. Those managers are separate from JR Collective and are responsible for their own regulatory status, documentation, terms and conduct.

Where a member enters into a client relationship with Pioneer Asset Management AG, Pioneer is responsible for that investment advisory relationship, including client classification, risk profiling, suitability assessment and investment recommendations in accordance with the client's agreed investment mandate. Strategies available within that relationship may incorporate approaches developed by independent third-party strategy providers, and Pioneer determines the suitability of the relevant strategy for the client.

Client funds and investment assets are handled entirely within the Pioneer client relationship. JR Collective does not receive, hold, manage or control client investment funds, and any funding record shown in the portal is an administrative note of amounts a member has notified, not a holding of money by JR Collective.

JR Collective does not select, endorse, vet, monitor or accept responsibility for any third-party manager, provider, platform or broker. Any relationship a member enters into with such a party is a direct relationship between the member and that party, on that party's own terms, and JR Collective is not a party to it.

8. Performance information

Where past performance, returns, drawdown or monthly tables are shown, they are historical, may be unaudited, are taken from the relevant manager, platform or member report as at the date stated, and may be presented gross of some or all fees, costs and taxes.

Past performance is not a reliable indicator of future results. Investments can fall as well as rise, returns are not guaranteed, currency movements may increase losses, leveraged and derivative strategies can lose more than the amount invested, and members may get back less than they put in — including nothing at all.

Illustrative figures, demonstration balances and sample portfolios shown in the portal are examples only and do not represent any actual member account unless expressly stated.

9. Risk disclosure statement

This statement is part of these terms and must be read before any member uses the portal or acts on anything seen inside it. It is a general description of risk and is not advice about whether any investment is right for you.

  • Capital risk — the value of any investment can fall as well as rise. You may get back less than you put in, and you may lose your entire investment.
  • No guarantees — no return, income, capital protection or outcome is promised, projected or underwritten by the club, by any member, or by any third-party manager.
  • Past performance — historical returns, monthly tables and drawdown figures describe the past only. They may be unaudited, gross of some or all fees, costs and taxes, and are never a reliable indicator of future results.
  • Leverage and derivatives — programmes that use margin, futures, contracts for difference or other derivatives can lose substantially more than the sums originally committed, and losses can occur very quickly.
  • Volatility and drawdown — sharp falls in value are normal and expected. A programme that has performed well may still suffer a severe drawdown, and there is no protection against that.
  • Currency risk — where an investment is denominated in a currency other than your own, exchange-rate movements may increase losses or reduce gains independently of performance.
  • Liquidity risk — you may not be able to withdraw, sell or transfer an investment when you want to, or at the value shown. Notice periods, lock-ups, gates and suspensions may apply under the provider's own terms.
  • Counterparty and operational risk — brokers, banks, platforms, custodians and managers can fail, suspend business, misprice, make errors or act fraudulently. The club has no control over them and provides no cover for their failure.
  • Concentration risk — following what a small number of members or one manager is doing may leave you with far less diversification than you assume.
  • No compensation cover — the club carries on no regulated activity, so membership is not covered by the Financial Services Compensation Scheme, the Financial Ombudsman Service or any equivalent investor-protection or compensation scheme, in any jurisdiction.
  • Tax risk — tax treatment depends on your own circumstances and can change. The club gives no tax advice, and you are responsible for your own reporting and liabilities.
  • Information risk — member posts, manager reports and portal data may be incomplete, out of date or wrong. They are provided 'as is', for discussion only, and must be independently verified before you rely on them.
  • Suitability — only commit money you can afford to lose entirely, after taking independent advice from an appropriately authorised professional in your own jurisdiction.

10. Referrals and member introductions

Any member referral or 'Refer & Earn' feature relates solely to introducing suitable individuals to the Club as a members' community. It is not a payment for the sale, promotion or arranging of any investment, no reward is calculated by reference to any sum invested by the person introduced, and no member may present a referral link as an investment offer or as advice.

JR Collective may vary, suspend or withdraw any referral recognition at any time.

11. Events

Club events are social and educational gatherings for members and their invited guests. Places are limited, may be cancelled or rescheduled, and attendance is at the member's own risk and expense unless stated otherwise. Any views expressed by speakers are their own and are not advice from JR Collective.

12. Fees

Where a membership subscription applies, it is a fee for access to the Club, its portal and its events. It is not a fee for advice, for management of assets, or for any investment service, and it is not contingent on any investment being made or on any return achieved.

13. Liability

Members are solely responsible for their own investment decisions and their consequences. To the fullest extent permitted by law, JR Collective, its directors, officers and agents accept no liability for any loss of capital, loss of profit, loss of opportunity, tax liability or consequential loss arising from reliance on portal content, member posts, third-party material, or any dealing with a third-party manager or provider.

Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded.

Content is provided on an 'as is' basis. JR Collective does not warrant that portal content, data or performance figures are complete, current or free from error, and does not undertake to update them.

14. Data, confidentiality and communications

JR Collective processes member data to administer membership, operate the portal, run events and send club communications. Member data is not sold. Members consent to receiving service and club communications by email while their membership is active.

All member content, membership lists and club material are confidential and must not be disclosed outside the Club.

15. Complaints

Complaints should be sent in writing to techsupport@tradexfintech.com and will be acknowledged within five business days. Because JR Collective does not carry on regulated activity, members are not entitled to bring a complaint about JR Collective to the Financial Ombudsman Service, and membership is not covered by the Financial Services Compensation Scheme or any equivalent investor compensation scheme.

16. Changes, term and termination

JR Collective may amend these terms at any time by publishing an updated version in the portal; continued use of the portal after publication constitutes acceptance. Either party may end membership at any time by written notice. On termination, portal access ceases and the confidentiality, liability and no-advice provisions survive.

17. Governing law

Governing law and jurisdiction: TBC. Nothing in these terms is intended to bring JR Collective within the regulatory perimeter of any jurisdiction, and no provision of these terms should be read as an offer or invitation to invest in any jurisdiction where that would be unlawful.
